Members using AllegianceMD services are subject to Terms of Use, which may be updated or altered at any time. These terms and conditions define your use of http://www.allegiancemd.com and access thereof, including additional links or other websites. By purchasing our services and logging into Allegiance MD, you are acknowledging your understanding and acceptance of these terms and conditions.
I.
Allegiance MD. Allegiance is an
innovative, privately held company, located in Las Vegas, Nevada. Our
experienced programmers developed a web-based medical billing/practice
management software, using Artificial Intelligence (AI). Seamlessly designed,
our HIPAA-secure expert system provides visibility into your business, giving
you a secure handle on every claim so you get paid faster and improve collection
status.
Health/Medical Disclaimer. We are not health practitioners and,
therefore, do not dispense medical diagnosis, treatment or content.
AllegianceMD.com holds no liability for any data, treatment, prescription,
diagnosis, healthcare, medical consultation or otherwise that may be reflected
anywhere within our site or any of the site links contained within our site. If
you have a medical condition or concern, contact a licensed healthcare
professional.
AllegianceMD maintains no association or affiliation with other corporations
or organizations. Should any be established in the future, those
affiliations will be displayed at our website: http://www.allegiancemd.com.
II.
Updates or Revisions to Membership Terms & Conditions.
AllegianceMD reserves the right to update, revise or alter the Terms of Use
without direct notification to the end user. The most current Terms of Use will
be posted on our site for convenience at http://www.allegiancemd.com. Not
concurring with any of such revisions has a singular resolve.canceling your
AllegianceMD service account. However, the revised Terms of Use will remain in
effect through your cancellation date.
III.
No Unlawful or Prohibitive Use.
You carry the sole responsibility for any and all
equipment, required to use your AllegianceMD membership services at
http://allegiancemd.com:
computer, Internet access, etc. You may not use our services for unlawful or
prohibited use, including those defined by AllegianceMD terms, conditions,
notices. In addition, you may not use AllegianceMD services in any fashion that
would tax, impair, harm or disable our network, server or other members. use of
our services.
Gaining unauthorized access to accounts, computer systems, other AllegianceMD
services or networks via hacking, password mining or other methods is strictly
prohibited. Accessing or attempting to access any data not directly accessible
via our membership services is also prohibited, including reverse engineering,
decompiling or disassembling our expert system software.
In addition, these actions are not permitted: leasing, renting or attempting to
transfer rights within our system/documentation; purging notices or labels;
plagiarizing, copying or producing projects derived from our expert system.
IV.
Member Communication. You
agree, acknowledge and understand that any form of communiquéor data including voice sent to
AllegianceMD can be reviewed by its technicians, programmers and other key
personnel and, as such, are not viewed by you as .private..
Furthermore, should users be permitted at any point to post, publish or
otherwise disseminate communication to other AllegianceMD users via our services
or website, you agree to avoid using language or materials deemed as violating
U.S. federal, state or local laws as well as global laws. Such material would
include any communications that are obscene, abusive, threatening,
terror-ridden, illegal, profane, vulgar, defamatory or otherwise infringe on the
privacy and/or rights of other entities or individuals, such as intellectual
property rights, copyrights, trademark issues, etc.
V.
No Third-Party Endorsements.
AllegianceMD is not responsible for the content, products, goods or services
offered via third-party advertisements at www.allegiancemd.com. As such, using
these goods and services is at your sole discretion.
VI.
Licensing. AllegianceMD is a
provider of a web-based software with an expert system. All of our services,
applications and products are licensed to you, the end user. As such, you have
non-transferable, non-exclusive rights to use our AllegianceMD expert
system.within the parameters of our Terms of Use and policies. Accepting these
Terms of Use means you both understand and agree to our sole ownership of this
exclusive web-based software/expert system. Every component of this exclusive
software system comprises the proprietary rights, knowledge and intellectual
property of Allegiance MD. No title to this proprietary software is conveyed to
you. A breach or failure to comply with any portion of these Terms of Use will
result in your immediate termination.
Furthermore, you vow to respect and protect Allegiance MD.s program content and
system software. As such, you further agree to protect the confidentiality of
your password and personal data, using your account within all related
regulations, laws and statutes.
VII.
Membership Cancellation Policy.
Your membership account will be canceled upon Allegiance MD.s receipt of your
written (email or U.S. mail) notification.
However, should you cancel your membership after claims were submitted, you
understand and agree that you are liable for these and any outstanding claims
generated. No refunds will be awarded for said cancellation. Furthermore,
membership cancellation.whether directly from you or via Allegiance MD.means
your username/password will be deleted from our system.

VIII.
Length of Membership. Your
AllegianceMD membership cannot be transferred, assigned or appointed to any
other entity or individual. Your AllegianceMD membership continues unless your
account is canceled.either by AllegianceMD or you.within the parameters of the
cancellation policy stated herein these Terms of Use.
IX.
AllegianceMD Termination. Under
its sole discretion, AllegianceMD may place a hold on or cancel your membership
account. Should AllegianceMD recognize any breach or failure on your part to
comply with any portion of these Terms of Use, your membership will be
terminated immediately.
X.
Service Usage Fees. As a member
of AllegianceMD services, your account will be assessed monthly charges
automatically. Logging into your AllegianceMD account reasserts your
understanding and agreement of the Terms of Use and authorization for monthly
charges to your credit card for service usage fees. As such, your maintain the
sole liability and responsibility for these service usage fees, as well as any
attorney or collection fees, should they be needed to recoup outstanding fees
from you. Fees and their parameters are defined as:
A.
Set-up fees. Every user is
assessed a set-up fee, based on the specificities of his/her required set-up.
Determine your individual set-up fees by discussing your needs with one of our
AllegianceMD professionals.
B.
Monthly Service Fees. AllegianceMD assesses minimum/maximum transaction fees, according
to your unique usage set-up. However, should your selected individualized set-up
include enhanced services, those additional services are charged separately from
the regular monthly transactional fees.
C.
Conversion Fees.AllegianceMD assesses fees on exporting structured data to a third party. Price is assessed per patient and per document.
D.
Other Fees Client is responsible for any fees associated with any third party copyright material uploaded by or utilized by client.
XI.
Billing Disputes. You have
sixty (60) days to report any discrepancies found on your invoice; otherwise,
you forfeit billing dispute rights. You may request a review of AllegianceMD
charges via our billing records to better understand the foundation of fees in
question.
XII.
Responsibility for Unauthorized Use.
You carry the sole liability for any unauthorized
use of your account, credit card data, username/password, etc. until the point
where AllegianceMD has been properly notified. Therefore, report any security
breach, username/password theft, credit card/debit card loss, fraud or account
number changes/expiration date changes, name changes, etc. to AllegianceMD
immediately via email or U.S. mail.
XIII. Username/Password Usage. By accessing AllegianceMD with your unique username/password, you understand and agree to the following conditions:
A. Your username/password will remain confidential and secure.
B. You will not share your username/password (except with authorized office personnel) or grant its unauthorized use, per the AllegianceMD Terms of Use.
C. You are solely liable for monitoring your personnel.s access, canceling any or all office personnel.s username(s)/password(s) when their access has been terminated; furthermore, you agree that AllegianceMD is not responsible for your inability or failure to terminate said username/password access. Please note that unauthorized access breaches AllegianceMD Terms of Use and may reflect a legal violation.
D. You acknowledge and agree to allow AllegianceMD to glean stats and related data from your IP address.
E.
Failure to comply with any portion of this and/or other segments of our
Terms of Use will result in immediate membership cancellation.
XIV.
Membership Account Access Consent & Non-Use.
As a member, you grant AllegianceMD access to any
or all of your users. accounts when technological or other assistance has been
requested, including but not limited to our applying enhancements, revisions,
updates, modifications, etc. to your accounts.
Furthermore, should your account remain dormant for forty-five (45) days or
longer, your username/password is suspended, rendering your account
non-accessible. Contact Allegiance MD, either via email or U.S. mail, to have
your access reinstated.
XV. Claim Processing. Only eligible persons may electronically submit claims within state and federal healthcare guidelines. As the user, you declare that all data is complete, accurate and gleaned for the medically necessitated health of your patient. You further confirm and comply these mandates:
A. Federal and state funds may be used for claim payments and, as such, you are stating that no fraud, falsifying of records or other prosecutorial actions have occurred in the process of these claims.
B. An electronic archive must be maintained for at least three (3) years, reflecting the full realm of care and service given to the patient. When a federal, state or local agency requires information, the user shall provide a printed record, including payments and all services rendered.
C. No discrimination can impair healthcare services, including race, religion, national origin, sex, age or physical/mental challenges.
D. You are solely responsible for verifying, completing and making available source documents of submitted claims within the statutes, regulations and mandates of federal, state and local authorities. Failing to do so will result in your e-billing privileges being revoked or suspended. In addition, you are liable for all other aspects of claim submission: data entry, transcription, development and transmittal.
E. Claim submissions and payments must be reviewed and verified for accuracy by you. You agree to comply with federal, state and local procedures for correcting any errors, understanding and agreeing that any falsifications or misrepresentations.whether of records, data or any portion of the claim submission/payment process.are subject to legal action, which may result in administrative action, fiscal penalties, prosecution, imprisonment, recovery of funds and/or your e-billing privileges being revoked. Furthermore, you and AllegianceMD vow to notify each other should .membership user. status for e-billing eligibility be altered in any way, per federal or state law.
F. It is understood by all parties that certain legal officials.whether federal, state or local legalities.may see fit to occasionally hold reviews of source documents to ascertain compliance issues. You agree to work in concert with such reviews, making all mandated reports and documents available to said officials. Failure to do so will result in your membership being terminated.
G. Your contractual agreements with billers responsible for submitting e-billings to state-run healthcare programs must comply with all related laws for such submissions, including (1) proper designation of the biller as agent to you, the membership user, for claim submission to the state.s program. As such, the biller must agree to total compliance to regulations, including record methods, maintenance, retention, etc., as set forth in the state.s laws; (2) the biller must use data gleaned from you, the membership user and maintain all relating documents and records for a minimum three-year period. In the case of an audit, the biller must maintain the records until the audit is satisfactorily completed, regardless if that time frame surpasses the minimum three-year retention period; (3) all parties understand and agree that AllegianceMD may accept e-billings readied, certified and submitted by either the membership user or the biller for the membership user.
H.
Protecting the records and privacy
rights of state healthcare program beneficiaries is paramount to the claim
submissions and records procedures, in accordance with legal statutes. You agree
to exercise due diligence in protecting the confidentiality of such documents,
using reliable security procedures at every juncture of the process.
In addition, you agree to not divulge any data regarding these beneficiaries
without the express written permission of either the beneficiary or his/her
legal guardian.or (1) if it is mandated for his/her treatment and the
beneficiary is unable to present written permission; (2) mandated by law; (3) if
the data is for billing insurance (whether primary or supplemental). When
beneficiaries of the state healthcare program (or their legal guardians) provide
written permission, you are required to keep all certified signatures on file.
I. All claims must be completed accurately and honestly. Your electronic entries must be identified with source documents and contain five key areas of data: (1) beneficiary name; (2) his/her health insurance claim number; (3) healthcare dates; (4) diagnosis; (5) treatment and services performed.
J. You agree to contact AllegianceMD within 48 hours, if transmissions become muddled, corrupted, garbled or unintelligible.
J. Electronic transmission carries certain risks, it's your responsibility to verify claims submission by checking the level 2 report from the payer withing 5 business days stating the acceptance of the claims for adjudication. If you don't receive level 2 report, that most likely means the claim has not reached the payer. If this occurs, you can use paper HCFA to mail the claim.
K. The parameters of this declaration expound on the membership user.s e-billing authority.it is not given to limit either the membership user or the biller with regards to the state.s healthcare programs.

Prior to reproducing any part of AllegianceMD web or marketing materials, the potential user must attain express writing permission for our corporation. Should AllegianceMD have licenses to publish data from third parties, said materials cannot be used, copied, reproduced or distributed without the express written permission of the related third party.

AllegianceMD actively and aggressively enforces its full intellectual property rights (copyrights, trademarks and other intellectual property rights) to the fullest extent of the law.
Indemnifiction & No Warranties
As an AllegianceMD member user, you agree to indemnify Allegiance MD, along with its officers and staff, any and all performance failures of billing software, e-billing features, billing services, any and all claims, including from your personnel or other third parties, arising from your use and access to Allegiance MD.s services (whether directly or indirectly) from your insurance claim submissions.
Furthermore, you agree as an AllegianceMD member user that any and all of our services are rendered to you on an .as is. basis, carrying without limitation no warranties. The membership user assumes all risks linked to e-billing without any reliance on Allegiance MD.s assessment regarding its e-billing software, expert system or the membership user.s biller. Any resulting defects to your computer or other inconveniences stemming from our services or material are your sole responsibility and, as such, you bear the cost for any or all repairs resulting directly or indirectly from them. AllegianceMD nor its other users, licensees, suppliers or other persons are to be held liable for such damages. If your state does not permit such an exclusion clause, this portion of the Agreement does not pertain to you.
In addition, Allegiance MD.s listing on any state healthcare program bulletin boards or otherwise does not constitute an endorsement of AllegianceMD services or that it meets any specific performance standards.
Limited Liabilities
Any data leaving our AllegianceMD servers or data the user downloads from AllegianceMD is not within our realm of responsibility. Member users are solely responsible for securing such data. Therefore, AllegianceMD limits its liability.equating to the member service fee (transaction amount) paid by the user for the previous monthly billing.to include our direct error/omission, deletion, operational disruption, performance failure, theft, unauthorized access or unauthorized modification of data, negligence. If your state does not permit this liability exclusion, this portion of our Agreement will not be applicable.
Entire Agreement
This Agreement constitutes the entire understanding between the AllegianceMD member user and Allegiance MD, encompassing the access and use of http://www.allegiancemd.com as well as any and all software, materials and other services offered by Allegiance MD. This Amendment supersedes all others and may only be changed via a notice from Allegiance MD, which will be posted on our site.
This Agreement, conditions and Terms of Use shall be governed and interpreted in accordance with the laws of the United States and the state of Nevada. Should any portion of this Agreement be found invalid, the remainder shall continue.
Any disputes between the parties hereunder shall be settled by arbitration in Nevada under the rules of the American Arbitration Association, and judgment may be entered thereon in any court of competent jurisdiction.
You, the AllegianceMD member user, have read, understand and agree to this entire Agreement with its conditions and Terms of Use. By agreeing herein, giving AllegianceMD authorization to charge your credit card with pertinent fees, relevant to your AllegianceMD account usage. Your agreement with these terms also confirms your legal eligibility to enter such terms, such as being of legal age per your state law.
